This is a template document. Forge IT Systems will publish formal terms once legal review is complete. The provisions below outline our general approach to client engagements.
1. Services
Forge IT Systems provides software engineering consulting services including machine learning and artificial intelligence solutions, systems architecture design, full-stack software development, and technical strategy consulting. The specific scope for each engagement is defined in a separate Statement of Work.
2. Engagement & Payment
Engagements begin upon mutual execution of a Statement of Work. Payment terms, rates, and schedules are specified in the applicable SOW.
3. Intellectual Property
Upon full payment for completed work, intellectual property rights in the deliverables transfer to the client. We retain the right to use general knowledge, skills, and experience gained during the engagement.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.
5. Limitation of Liability
To the maximum extent permitted by law, Forge IT Systems's total liability shall not exceed the total fees paid by the client for the specific engagement.
6. Termination
Either party may terminate an engagement with 14 days' written notice. The client pays for all work completed up to the termination date.
7. Governing Law
These Terms are governed by the laws of India.
